The following Terms and Conditions apply to all commercial transactions between CHEMEXIS GmbH and its customers, including the supply, production, and contract manufacturing of chemical products and related services.
All offers made by CHEMEXIS are non-binding until confirmed in writing. Orders are subject to product availability and may vary slightly in specification due to raw material tolerances or technical improvements.
Prices are quoted net, exclusive of VAT and applicable duties, and may be adjusted in response to market conditions or regulatory changes. Payment conditions are agreed individually between CHEMEXIS and the client.
Delivery dates are approximate and non-binding unless explicitly confirmed. Risk transfers to the customer upon dispatch. Partial deliveries may occur where appropriate.
Clients are responsible for verifying the suitability of products for their intended use and ensuring regulatory compliance in their respective regions. Any technical advice provided by CHEMEXIS is non-binding and based on current knowledge.
In the event of defects, claims must be submitted promptly. CHEMEXIS reserves the right to replace defective goods or issue a credit, with further liability excluded to the extent permitted by law.
All formulations, documentation, and proprietary information remain confidential and may not be disclosed or used without written consent.
German law applies. Place of jurisdiction is Hamburg, unless otherwise agreed.
